Lawyers are often called upon to draft documents on behalf of clients when they wish to enter a business agreement with another person or entity for the furtherance of a common goal. From the client perspective; drafting a commercial agreement should not be complicated or involve consideration of legal issues. From a lawyers perspective; we need to protect our clients interests without producing a document that is overly complex and onerous.
When drafting commercial agreements it important to make sure that they are precise in nature as the agreement reflects the intention of the parties to the agreement. When parties fail to clarify an issue in the agreement or state it precisely, the court is assigned the task of interpreting the relevant intention of the parties and to imply a term in the agreement which may have not been contemplated by the parties when entering into such an agreement.
Case law indicates that the failure of parties to precisely state their intentions can be damaging. Thus when drafting such agreements it is crucial that your employ the skills of a competent lawyer to protect your interests and reduce your intentions to writing. Parties’ liabilities are substantially reduced when clear and definite clauses are drafted into the agreement especially when dealing with breach of contract clauses leaving little room for the court to interpret otherwise. The failure to state the intention expressly invites the court to imply terms which may not have been the intention of the parties.

The purpose of this article is to analyse a recent decision in the Supreme Court of Victoria regarding the interpretation of restraint of trade clauses. In Earth Force Personnel Pty Ltd v E A Negri Pty Ltd & Anor [2010] VSC 426 (22 September 2010) a labour hire company appealed a decision by the Magistrates Court regarding the interpretation of an introduction fee. In that case the respondents argued that the introduction fee was unenforceable as a restraint of trade clause and that the introduction fee was therefore not payable.
